BY CLICKING THE “ACCEPT” BUTTON YOU HEREBY ACCEPTS THIS AGREEMENT AND AGREES THAT YOU ARE \u200eLEGALLY BOUND BY IT. \u200eIF YOU DO NOT AGREE TO THIS AGREEMENT, \u200eDO NOT CLICK THE “ACCEPT” \u200eBUTTON AND YOU WILL HAVE NO RIGHT TO, \u200eAND MUST NOT ACCESS OR USE, \u200eTHE APPLICATION AND\/OR PLATFORM PROVIDED BY ANDORHEALTH.\u200e BY ACCEPTING THIS AGREEMENT YOU ARE ALSO ACCEPTING ANDORHEALTH\u2019S WEBSITE AND APPLICATION\u00a0TERMS OF USE<\/a>. YOUR ACCEPTANCE WILL BE BINDING ON YOU AND YOUR COMPANY.<\/p>

Right to Access Solution<\/div>

The end user (\u201cUser<\/strong>\u201d) will have the non-exclusive, personal, nontransferable, limited right to download a copy of the application to a device and access and use the ThinkAndor solution software platform (\u201cSolution<\/strong>\u201d) provided by ANDORHEALTH to the company of User (\u201cCompany<\/strong>\u201d) for the purpose of utilizing the Solution with ANDORHEALTH products during the applicable term of such product, subject to full compliance with the terms and conditions set forth in this Agreement. The Solution and any services associated with it are solely for Customer\u2019s internal use, unless expressly authorized in the agreement between ANDORHEALTH and the Customer.<\/p>

Restrictions on Use<\/div>

User is prohibited from modifying, reverse engineering, or producing any derivatives of the Solution.<\/p>

User is prohibited from producing and distributing copies of Solution. This includes, but not limited to making the Solution or any ThinkAndor products available to third parties or using the Solution or ThinkAndor product on behalf of third parties.<\/p>

User is prohibited from reverse engineering any ThinkAndor product or the Solution.<\/p>

DISCLAIMER OF WARRANTIES<\/div>

ANDORHEALTH MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY WITH RESPECT TO THE SOLUTION, AND ASSOCIATED SOFTWARE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND ANY IMPLIED WARRANTIES ARISING FROM THE COURSE OF DEALING OR COURSE OF PERFORMANCE, AND ANDORHEALTH HEREBY DISCLAIMS THE SAME. USER IS SOLELY RESPONSIBLE FOR ANY AND ALL ACTS OR OMISSIONS TAKEN OR MADE IN RELIANCE ON THE SOLUTION OR THE INFORMATION IN THE ASSOCIATED SOFTWARE, INCLUDING INACCURATE OR INCOMPLETE INFORMATION.<\/p>

Limitation of Liability<\/div>

ANDORHEALTH shall not be responsible or liable, directly or indirectly, for any loss or \u200edamage, including any lost profits, lost savings or any direct, indirect, incidental or consequential \u200edamages, caused by use of, or reliance on, or inability to use or access, or delays in, or \u200einaccuracies or errors or defects or omissions in, the application or the Solution, whether resulting from \u200eimpaired or lost data, software or computer failure or any other cause, regardless of the \u200eclaim as to the nature of the cause of action, and even if ANDORHEALTH has been advised of \u200ethe possibility of such damage or loss.<\/strong><\/p>

Compliance with Applicable Laws<\/div>

User must comply with all applicable laws regarding use of the application and Solution.<\/p>

Termination<\/div>

Without prejudice to any other rights, ANDORHEALTH may terminate this Agreement immediately \u200eif you fail to comply with the terms and conditions of this Agreement.
